Who actually decides on SpaceX–Tesla?

Article says special committees of independent directors on both sides, then shareholders vote. Musk owns nearly a fifth of Tesla and just under half of SpaceX.

So how independent is "independent" here? Does Musk vote his shares? Genuine question.
